Many consultants begin their independent venture as a sole proprietorship because of the low costs, and incorporate as the business grows and the engagements become larger and more complex.

Independent Contractor or Employee?

You’ll have to clearly understand the factors that determine if you’re an employee or a bonafide independent contractor/consultant. CRA is cracking down on individuals and businesses who enter into independent contractor relationship when the relationship is clearly an employee/employer relationship.  The penalties are also getting more severe – particularly for the company that enters into such relationships.

Business License

Usually business licenses or permits are required by local municipalities for you to conduct business. The cost is minimal and rules and regulations differ from one municipality to another.  Search “business license <your municipality> to understand specific requirements.

One restriction that is common throughout municipalities is the requirement for approval by your strata if you are planning on using your home as your work location.

Getting a Tax Number

If your consulting business’ annual taxable revenue before expenses is below a minimum threshold, you would qualify as a “small supplier” according to the Canada Revenue Agency (CRA). Check the CRA website for the latest threshold amount. As a small supplier, you are not required to register for the GST/HST.

Even if you qualify as a small supplier, you may want to voluntarily register for GST/HST. The advantage of voluntary registration is you can recover the GST/HST paid for purchases and expenses related to your commercial activities by claiming “Input Tax Credits”. Without the voluntary registration, you will not be able to recover the GST/HST paid. To register for a GST/HST account, follow the instructions here.
